Weeders Garden Club Bylaws – Revised April 2021
ARTICLE I. NAME
The name is Weeders Garden Club, a member of the Arizona Federation of Garden Clubs, Inc., Pacific Region, and National Garden Clubs, Inc. The flower is the Banksia Rose and colors are yellow and white.
ARTICLE II. AIMS
Section 1. To be organized exclusively for charitable objectives and scientific purposes, the making of distribution to organizations that qualify as exempt organizations under Section 501c3 of the Internal Revenue Code or the corresponding section of any future federal tax code.
Section 2. To advance the fine arts of gardening, landscape design floral design, and the study of horticulture.
Section 3. To preserve the natural beauty and historical significance of our community.
Section 4. To aid in the conservation of our natural resources and stimulate interest in roadside and community beautification.
ARTICLE III. MEETINGS
Meetings will be held on the second Thursday of each month from September through May.
ARTICLE IV. MEMBERSHIP AND DUES
Section 1. Members are encouraged to support and participate in all club activities and projects.
Section 2. Interested persons shall be invited to join the club after attending two meetings.
Section 3. Dues are payable in April and delinquent May 15th. The Treasurer shall give notice to all delinquent members.
ARTICLE V. OFFICERS AND ELECTIONS
Section 1. The officers shall be: President, First Vice President, Second Vice President, Recording Secretary, Treasurer, Corresponding Secretary, Parliamentarian.
Section 2. The term of office shall be two years, not to exceed two consecutive terms.
Section 3. The President shall appoint a Nominating Committee of three at the January meeting of the odd numbered year. The committee shall report at the March meeting, accept nominations from the floor, and vote taken. If there are nominations from the floor election shall be by written ballot.
ARTICLE VI. DUTIES OF OFFICERS AND EXECUTIVE BOARD
President shall:
- Preside at all meetings.
- Appoint standing committee chairmen and such other chairmen as deemed necessary.
- Be ex-officio member of all committees except the nominating committee.
First Vice President shall:
- In the absence of the President, at the president’s request, perform all duties pertinent to the office of President.
- Be responsible for the scheduling and coordination of monthly programs, with the assistance of the Second Vice President
Second Vice President shall:
- Assist the President and First Vice President at their request.
2. Be responsible for scheduling and coordinating Weeders’ field trips.
Recording Secretary shall:
- Record the minutes.
2. Preserve and maintain the club records 3. Call the roll at meetings.
Corresponding Secretary shall:
- Execute all correspondence of the club.
2. In the absence of the recording secretary assume those duties.
Treasurer shall:
- Collect all dues.
2. Make payments and reimbursements as directed by the club. 3. Prepare an annual budget.
Parliamentarian shall:
- Assist on points of Parliamentary Procedure when requested.
2. Fulfill required duties as outlined in Roberts Rules of Order (Revised). 3. Serve as a member of the executive board.
Executive Board:
The Executive Board shall consist of the elected officers, immediate past president, and a parliamentarian appointed by the President.
The executive board shall meet at the discretion of the President.
ARTICLE VII. RESPONSIBILITIES OF OFFICERS AND CLUB AS A 501c3 ENTITY
No part of the new earnings of the garden club shall incur to the benefit of or be distributable to its members, officers or other private persons, except that the garden club shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set for the in Article II.
No substantial part of the activities of the garden club shall be the carrying on of propaganda or otherwise attempting to influence legislation and the garden club shall not participate in or intervene in (including the publication or distribution of statements) any political campaign on behalf of or opposition to any candidate for public office.
Notwithstanding any other provisions of these articles, the garden club shall not carry on any other activities not permitted to be carried by a garden club from Federal Income Tax under Section 501c3 of the Internal Revenue Code or the corresponding section of any future federal tax code.
ARTICLE VIII. QUORUM
Section 1. A quorum shall be not less than five members present.
ARTICLE IX. DISSOLUTION
Upon dissolution of this garden club, assets shall be distributed for one or more exempt purposes within the meaning of Section 501c3 of the Internal Revenue Code or corresponding section of any future federal tax code to a
Fund, foundation or organization organized and operated exclusively for charitable, educational, religious or scientific purposes or a state or local government for a public purpose.
ARTICLE X. AMENDMENTS
The Bylaws may be amended by a two-thirds vote of members present, provided that the executive board shall have approved the proposed amendment(s), and a copy submitted to each club member.
This entity, Weeders Garden Club, created these Bylaws on February 25, 2004, as an operational document for Weeders Garden Club.
STANDING RULES
Section 1. Time of the meeting is the second Thursday of each month, September through May, at 9:30 a.m., unless otherwise announced.
Section 2. Dues shall be $25.00 annually payable in April and remain such until December 31st. From January to April dues will be $12.50.
Section 3. Delegates to the State convention shall be the president and additional delegates as required by the State. The president-elect should be one of the delegates.
Section 4. The club will leave a minimum balance of at least $100 in the checking account for the incoming board.
Section 5. At the end of the President’s two-year term a gift of a Pacific Region Life membership will be awarded. This will be arranged by the incoming president.
Section 6. State Life memberships shall be awarded at the discretion of the board to members who have rendered distinguished service to the club and have a minimum of three years of membership.
Section 7. Members with 25 years of service in Weeders Garden Club will be awarded life membership and both their AFGC and Weeders dues will be waived.
Section 8. In the event of the death of a member or member’s spouse, a Penny Pines plantation will be purchased by the club as a memorial.
